MeritoHire Terms of Use

1. ACCEPTANCE OF OUR TERMS

Please read these Terms of Use (the "Terms") carefully. By accessing, opting-in to, or using any website, page, application, or other online or mobile resource that links to or references these Terms (collectively the "Site and Services") you accept and agree to be bound by these Terms. By accepting these Terms through your use of any of the Site and Services, you also certify that you are 18 years of age or older. If you are under the age of 18 but at least 13 years of age, you may use the Site and Services only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. MeritoHire does not intentionally collect personal information about children under the age of 13. Children under the age of 13 may not use the Site and Services, and parents or legal guardians may not agree to these Terms on their behalf. If you are a parent or legal guardian agreeing to these Terms for the benefit of a child between the ages of 13 and 18, you are fully responsible for his or her use of the Site and Services, including the legal liability that he or she may incur.

If you do not want to be bound by our Terms, your only option is not to visit, view or otherwise use the Site and Services. You understand, agree and acknowledge that these Terms constitute a legally binding agreement and that your use of any of the Site and Services indicates your conclusive acceptance of this legally binding agreement.

2. PROVISION OF SERVICES; RESTRICTIONS

You agree that The Automatic Office Corp (d/b/a MeritoHire, "MeritoHire") is entitled to modify, improve or discontinue any portion of the Site and Services at its sole discretion and without notice to you, even if any modification, improvement or discontinuance prevents you from being able to access the Site and Services or related information. You also agree that MeritoHire is entitled to: (i) provide the Site and Services to you through subsidiaries or affiliated entities; and (ii) make the Site and Services accessible to you as a service provider for an organization with whom you wish to engage for recruitment and/or human capital management purposes (a "MeritoHire Client").

By using the Site and Services, you agree to not use the Site and Services for any unlawful purpose, or purpose prohibited by these Terms. You may not use the Site and Services in a way that could impair, damage, overburden, or disable MeritoHire's network. Probing, scanning, or testing the vulnerability of any part of the Site and Services is not allowed. You may not use hacking, password mining, or other methods to gain access to the Site and Services. Attempting to obtain information that is not intentionally made available to you on or via the Site and Services is prohibited.

MeritoHire has the right to investigate suspicious activity or occurrences and may involve and cooperate with law enforcement authorities in prosecuting users who are involved in such activity or occurrences. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of the Site and Services or any activity being conducted on the Site and Services.

3. PROPRIETARY RIGHTS

You agree that the Site and Services may contain proprietary and confidential information including trademarks, service marks and patents protected by intellectual property laws and international intellectual property treaties. Such content may not be sold, reproduced, or distributed without our written permission. Any third-party trademarks, service marks and logos are the property of their respective owners. Any further rights not specifically granted herein are reserved to MeritoHire.

4. USE OF AI-POWERED SERVICES

MeritoHire provides AI-powered recruiting and interview services, including but not limited to resume screening, automated interview scheduling, AI-conducted interviews, and candidate evaluation. By using these services, you acknowledge and agree that:

a) AI-Generated Content

Interview questions, candidate evaluations, and recommendations are generated or assisted by artificial intelligence. While MeritoHire strives to provide accurate and fair assessments, AI-generated content should be reviewed and validated by qualified human decision-makers before making final hiring decisions.

b) Data Processing for AI Services

To provide AI services, MeritoHire processes candidate information including resumes, video interviews, voice recordings, and other submitted materials. This processing is necessary for the functionality of our services and is done in accordance with our Privacy Policy and applicable data protection laws.

c) Human Final Decision

MeritoHire's AI services are designed to assist and support human decision-making, not replace it. Final hiring decisions remain the responsibility of the hiring organization. MeritoHire makes no guarantees about hiring outcomes resulting from the use of our AI services.

d) Bias and Fairness

While MeritoHire implements measures to reduce bias in our AI systems, you acknowledge that no AI system is perfect. Users are responsible for ensuring their hiring practices comply with applicable employment laws and anti-discrimination regulations in their jurisdiction.

5. VIDEO AND AUDIO RECORDING

MeritoHire's services include the recording, storage, and analysis of video and audio interviews. By participating in an interview through MeritoHire:

a) Consent to Recording

You consent to being recorded via video and audio during the interview process. Candidates will be notified before recording begins and must provide explicit consent before proceeding with the interview.

b) Use of Recordings

Video and audio recordings will be used for:

  • Evaluation and assessment of candidate qualifications
  • AI-powered analysis including speech-to-text transcription, sentiment analysis, and performance scoring
  • Review by hiring personnel of MeritoHire Clients
  • Training and improvement of AI models (only with explicit additional consent)

c) Data Retention

Recordings and related data will be retained for a period specified by the MeritoHire Client (typically 6 months) or as required by applicable law. You may request deletion of your recordings by contacting contact@meritohire.com, subject to legal retention requirements.

6. COMMUNICATIONS AND NOTIFICATIONS

By using MeritoHire's services, you may receive communications including:

  • Email notifications regarding interview scheduling, reminders, and status updates
  • SMS/text messages for interview reminders and scheduling (if you opt-in)
  • In-platform notifications about interview progress and results

a) Email Communications

By providing your email address, you consent to receive service-related emails from MeritoHire or MeritoHire Clients. You can manage your email preferences through your account settings or by contacting contact@meritohire.com.

b) SMS/Text Messaging (Optional)

If you opt-in to receive SMS notifications, you agree that message and data rates may apply. Message frequency varies. You can opt-out at any time by replying "STOP" to any message. Reply "HELP" for assistance. MeritoHire and carriers are not liable for delayed or undelivered messages.

7. USER ACCOUNTS AND SECURITY

Some features of the Site and Services may require you to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your account credentials and accept responsibility for all activities under your account
  • Notify MeritoHire immediately of any unauthorized use of your account

MeritoHire reserves the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

8. CLIENT AND CANDIDATE RESPONSIBILITIES

a) For MeritoHire Clients (Employers/Recruiters)

Organizations using MeritoHire agree to:

  • Use the services in compliance with all applicable employment and data protection laws
  • Obtain necessary consents from candidates before collecting their data
  • Use AI-generated insights as decision support only, not as the sole basis for hiring decisions
  • Maintain confidentiality of candidate information
  • Provide candidates with appropriate notice about the use of AI in the hiring process

b) For Candidates

Candidates participating in MeritoHire interviews agree to:

  • Provide truthful and accurate information
  • Not impersonate another person or entity
  • Not attempt to manipulate or deceive the AI evaluation systems
  • Respect the intellectual property rights in interview questions and materials

9. TERMINATION OF USE

We reserve the right to terminate your access to and use of all or any component of the Site and Services, at any time, with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended inactivity
  • Requests by law enforcement or government agencies

Your obligations under these Terms will survive any such termination.

10. DISCLAIMER OF WARRANTIES

You understand and agree that your use of the Site and Services is entirely at your own risk and that our Site and Services are provided "As Is" and "As Available". MeritoHire does not make any express or implied warranties, endorsements or representations whatsoever as to the operation of the Site and Services, information, content, materials, or products. This includes, but is not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement, and warranties indicating that access to or use of the service will be uninterrupted or error-free or that defects in the service will be corrected.

SPECIFICALLY, MERITOHIRE MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING:

  • The accuracy, completeness, or reliability of AI-generated assessments, scores, or recommendations
  • The suitability of any candidate for employment
  • Compliance with specific industry regulations or requirements
  • The absence of bias or discrimination in AI evaluations
  • Employment outcomes or hiring decisions made using our services

11. LIMITATION OF LIABILITY

YOU UNDERSTAND AND AGREE THAT MERITOHIRE AND ITS SUBSIDIARIES OR AFFILIATES SHALL NOT, IN ANY EVENT, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. THIS SHALL INCLUDE, BUT IS NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, BUSINESS REPUTATION OR GOODWILL, LOSS OF PROGRAMS OR INFORMATION OR OTHER INTANGIBLE LOSSES ARISING OUT OF THE USE OF OR THE INABILITY TO USE THE SITE AND SERVICES, OR INFORMATION, OR ANY PERMANENT OR TEMPORARY CESSATION OF ANY PORTION OF THE SITE AND SERVICES OR ACCESS TO INFORMATION, OR THE DELETION OR CORRUPTION OF ANY CONTENT OR INFORMATION, OR THE FAILURE TO STORE ANY CONTENT OR INFORMATION. THE ABOVE LIMITATION SHALL APPLY WHETHER OR NOT MERITOHIRE HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, THE LIABILITY OF MERITOHIRE IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

HIRING DECISIONS: MERITOHIRE SHALL NOT BE LIABLE FOR ANY HIRING DECISIONS, EMPLOYMENT OUTCOMES, OR CONSEQUENCES RESULTING FROM THE USE OF OUR AI SERVICES, ASSESSMENTS, OR RECOMMENDATIONS. ALL HIRING DECISIONS REMAIN THE SOLE RESPONSIBILITY OF THE HIRING ORGANIZATION.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless MeritoHire, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Site and Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Hiring decisions made using MeritoHire services
  • Any claims of discrimination, bias, or unfair hiring practices

13. EXTERNAL CONTENT AND INTEGRATIONS

The Site and Services may include hyperlinks to third-party content, advertising or websites, or integrations with third-party services such as Applicant Tracking Systems (ATS), calendar applications, or communication platforms. You agree that MeritoHire is not responsible for and does not endorse any advertising, products, services, or resources available from such external sources or websites.

14. DATA PROTECTION AND PRIVACY

Your use of the Site and Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at www.meritohire.com/privacy-policy to understand our data collection, use, and protection practices.

15. COMPLIANCE WITH LAWS

You agree to comply with all applicable local, state, national, and international laws and regulations when using the Site and Services, including but not limited to:

  • Employment and labor laws
  • Anti-discrimination laws (Title VII, ADA, ADEA, etc.)
  • Data protection and privacy regulations (GDPR, CCPA, etc.)
  • AI and automated decision-making regulations

16. JURISDICTION

Except where otherwise required by law, any legal matter arising from these Terms shall be governed by the laws of the State of Florida without regard to its conflict of laws provisions, and you agree to submit to the jurisdiction of the courts of Miami-Dade County, Florida. You acknowledge that MeritoHire may apply for injunctive remedies in any jurisdiction.

17. DISPUTE RESOLUTION

Any dispute arising from or relating to these Terms or the Site and Services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except where prohibited by law.

18. SEVERABILITY; NO WAIVER

If the court of law having jurisdiction rules that any provision of the agreement is invalid, then that provision will be removed from the Terms and the remaining Terms will continue to be valid.

Failure to enforce any legal right or remedy contained in these Terms or applicable law will not be deemed a formal waiver of those rights or remedies and those rights or remedies will still be available to MeritoHire.

19. ENTIRE AGREEMENT

You agree that the above Terms constitute the entire agreement between you and MeritoHire with respect to the subject matter of these Terms. You may be subject to additional terms and conditions when you use, purchase or access other services, affiliate services or third-party content or material. There are no third-party beneficiary rights under these Terms.

20. CHANGES TO THE TERMS

MeritoHire reserves the right to modify these Terms from time to time at our sole discretion and without notice. Changes to our Terms become effective on the date they are posted, and your continued use of any portion of the Site and Services after any changes to the Terms will, on its own, signify your agreement to be bound by them. We encourage you to review these Terms periodically.
